1. Definitions

In these Terms and Conditions:

  • "Thornbridge", "we", "us", "our": the legal advisory practice operating under the name Thornbridge, registered in Malaysia
  • "Client", "you", "your": any individual or entity that engages Thornbridge for advisory services or accesses this website
  • "Services": legal advisory services provided by Thornbridge, including employment law, intellectual property, and family law advisory
  • "Engagement Letter": the written agreement between Thornbridge and a Client setting out the scope, fees, and terms of a specific engagement
  • "Website": the website accessible at thornbridge

2. Acceptance of Terms

By accessing this Website or engaging Thornbridge's Services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of this Website constitutes acceptance of these Terms. An advisory engagement is formally commenced only upon execution of an Engagement Letter.

3. Services Description

Thornbridge provides legal advisory services across three practice areas in Malaysia:

  • Employment Law: employment contract review and drafting, termination and redundancy advisory, Industrial Relations Act guidance, HR policy documentation
  • Intellectual Property: trademark, patent, and copyright registration through MyIPO; conflict monitoring; regional IP filing coordination
  • Family Law: divorce proceedings, custody and access arrangements, matrimonial asset matters under the Law Reform (Marriage and Divorce) Act 1976

Nothing on this Website constitutes legal advice. A formal advisory relationship exists only after an Engagement Letter has been signed and the initial fee agreed.

4. Client Obligations

Clients agree to:

  • Provide accurate, complete, and timely information relevant to their matter
  • Notify Thornbridge promptly of any changes in circumstances that may affect the matter
  • Respond to requests for information or documentation within agreed timeframes
  • Treat Thornbridge personnel with professional courtesy
  • Not use this Website for any unlawful purpose or in a manner that could damage Thornbridge's reputation

5. Fees and Payment

Fees for Services are set out in the applicable Engagement Letter. The following general terms apply:

  • All fees are stated in Malaysian Ringgit (MYR) and are exclusive of applicable taxes unless stated otherwise
  • For fixed-fee engagements, fees are payable as specified in the Engagement Letter (typically 50% on commencement, 50% on completion)
  • For time-based engagements, invoices are issued monthly and are payable within 14 days of the invoice date
  • Disbursements (filing fees, government charges, third-party costs) are charged at cost and itemised separately
  • Late payment may result in suspension of work on the matter

6. Intellectual Property

All content on this Website — including text, design, structure, and materials — is owned by or licensed to Thornbridge. You may not reproduce, distribute, or use any content from this Website without prior written consent, except for personal, non-commercial reference purposes.

Documents, opinions, and other work product prepared by Thornbridge for a specific Client engagement remain the intellectual property of Thornbridge until all fees are settled, after which use rights pass to the Client for the purpose for which they were prepared.

7. Confidentiality

Thornbridge treats all client information as strictly confidential in accordance with the professional obligations applicable under Malaysian Bar Council rules. Client information will not be disclosed to third parties except as required for the provision of Services, as compelled by law or court order, or with the Client's prior written consent.

9. Limitation of Liability

To the fullest extent permitted under Malaysian law, Thornbridge's liability for any claim arising from or in connection with these Terms or the provision of Services is limited to the fees paid by the Client in respect of the specific engagement giving rise to the claim.

Thornbridge is not liable for indirect, consequential, or loss of profit claims arising from use of this Website or from the Services, except in cases of fraud or wilful misconduct.

10. Termination

Either party may terminate an engagement by giving written notice. Thornbridge may cease work immediately where: (a) a Client fails to pay outstanding fees after demand; (b) a conflict of interest arises; or (c) continuing the engagement would require a breach of professional obligations.

Upon termination, fees for work completed to the date of termination remain due. Client documentation will be returned or transferred on payment of outstanding amounts.

11. Governing Law and Dispute Resolution

These Terms and any engagement are governed by the laws of Malaysia. The courts of Malaysia, specifically those in Kuala Lumpur, have exclusive jurisdiction over any dispute arising from these Terms or the Services.

Where a dispute arises from a specific engagement, the parties agree to attempt informal resolution through direct communication before commencing formal proceedings. Thornbridge's complaints procedure is available on request.

12. Changes to These Terms

Thornbridge may update these Terms from time to time. Changes become effective when posted on this Website with a revised "Last Updated" date. Continued use of the Website or engagement of Services following any changes constitutes acceptance.
